1. Acceptance of Terms
By using our services or visiting our website, you agree to these Terms of Service. We may update these Terms from time to time. Updates will be posted here.

2. Scope of Services
We provide:
- Custom Software Development
- Web and Mobile App Development
- SaaS Platform Solutions
- Digital Transformation Services
All project details, including timeline and deliverables, are defined in the signed Service Agreement.

3. Client Responsibilities
You agree to:
- Provide accurate and timely information.
- Cooperate during development and approval stages.
- Make timely payments as per the agreed terms.

4. Payments and Invoicing
- All payment terms are shared in writing before work begins.
- Delays in payment can lead to suspension of service.
- GST or other applicable taxes are borne by the client.

5. Intellectual Property
- You will receive full ownership of the final deliverables upon full payment.
- Codextroop retains ownership of frameworks, tools, and reusable code libraries.
- Third-party components (if used) come with their own licenses.

6. Confidentiality
We and the client agree to keep all shared information confidential, including code, business data, or proprietary strategies, unless legally required to disclose.

7. Warranties & Support
- We deliver all services to match the agreed scope and standards.
- Once final delivery is accepted, ongoing support or bug fixes are not included unless covered under a separate Annual Maintenance Contract (AMC).
- No free warranty or support is assumed post-delivery.

8. Limitation of Liability
We are not responsible for:
- Loss of profits or business,
- Indirect or consequential damages, or
- Any damages exceeding the total amount paid for the service under dispute.

9. Termination
- Either party can terminate the service agreement with written notice.
- The client is liable for payment for work completed up to the termination date.

10. Force Majeure
We are not liable for delays or failure to deliver work caused by factors beyond our control (natural disasters, political unrest, internet failures, etc.).

11. Dispute Resolution
- We aim to resolve disputes amicably through communication and mediation.
- If unresolved, disputes shall be resolved through arbitration in Lucknow, Uttar Pradesh, under the Arbitration and Conciliation Act, 1996.

12. Modifications to Terms
We may update these Terms from time to time. Continued use of our website or services means you accept the changes.
